Project Terms and Conditions

Quotations and Proposals:

All quotations and proposals are valid for 30 days unless otherwise specified. Prices are subject to change based on project scope modifications or unforeseen circumstances.

Payment Terms:

• Payment terms will be specified in individual project agreements
• Late payment charges may apply as per Dutch commercial law
• All prices are exclusive of VAT unless otherwise stated
• Expenses and third-party costs will be charged separately

Project Changes:

Limitation of Liability

• Our total liability for any claim shall not exceed the total fees paid for the specific service

Professional Standards:

We provide services in accordance with accepted professional engineering standards and practices. Our liability is limited to re-performance of deficient services or refund of fees, at our discretion.

Force Majeure

simplies shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or public health emergencies
• Government actions, regulations, or restrictions
• Labour disputes, strikes, or industrial action
• Technical failures, cyber attacks, or infrastructure issues
• Supplier failures or material shortages

Termination

Either party may terminate a service agreement in accordance with the terms specified in the individual project contract. Termination rights and procedures will be clearly outlined in each agreement.

Immediate Termination:

We reserve the right to immediately terminate services in cases of:

• Non-payment of fees after written notice
• Breach of these terms or project agreements
• Illegal or unethical use of our services
• Circumstances that compromise professional integrity

Effect of Termination:

Upon termination, you remain liable for all fees for services performed up to the termination date. We will provide work completed to the termination date, subject to payment of outstanding fees.

Privacy and Data Protection

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you consent to our data processing practices as described in the Privacy Policy.
